Healthcare SaaS — Master Services Agreement

Three escape clauses in five sentences. Every obligation routes through a phrase that means whatever the lawyer wants it to.

The document
## 4.2 — Service Levels and Availability Provider shall use commercially reasonable efforts to ensure the Platform remains available to Customer's authorized users in a timely manner during the Term. Where feasible, Provider will respond to Severity 1 incidents promptly and will provide status updates as needed throughout any extended outage. Provider may, at its discretion, suspend the Platform to perform maintenance that is reasonably necessary, provided that such suspension is not unduly disruptive to Customer's operations. Provider shall make appropriate efforts to minimize the impact of scheduled maintenance and shall notify Customer in advance where practical. Customer acknowledges that some downtime is unavoidable and agrees that Provider's obligations under this Section are satisfied so long as the Platform is generally available.
